Terms of Service

1. Acceptance of Terms

By accessing or using the All Seeing Eye ("ASE", "we", "us", "our") website at ase.run and any related services (collectively, the "Services"), you ("Client", "you", "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use our Services.

These Terms constitute a legally binding agreement between you and ASE. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

2. Description of Services

ASE provides autonomous AI-powered penetration testing services, including:

  • Blackbox and greybox penetration testing of web applications, APIs, networks, and infrastructure.
  • Vulnerability identification, validation, and reporting with reproducible proofs of concept (PoCs).
  • Security assessment reports encrypted at rest on the server, delivered to the client, and purged from the server after download.
  • On-demand security assessment options.

ASE services are available to both end clients conducting assessments on their own systems and cybersecurity firms using the platform to perform penetration testing engagements on behalf of their clients.

Demo requests submitted through the website are subject to availability and our acceptance. Submitting a demo request does not guarantee service delivery.

3. Authorization and Scope

By engaging our Services, you represent and warrant that:

  • You are the lawful owner or authorized representative of the systems, networks, and applications designated as targets for penetration testing.
  • You have explicit written authorization to conduct security testing on all specified targets.
  • The scope of testing has been mutually agreed upon in writing before any assessment begins.
  • You will provide accurate and complete information regarding target systems and rules of engagement.

ASE will not perform testing on any system without proper authorization. You are solely responsible for ensuring that all necessary permissions and authorizations are in place before testing commences. ASE shall not be held liable for any consequences arising from testing performed on systems for which you provided authorization but did not have the legal right to do so.

4. Client Obligations

When using our Services, you agree to:

  • Provide accurate, current, and complete information as required for service delivery.
  • Maintain appropriate backups of all systems and data within the agreed testing scope.
  • Notify all relevant stakeholders (hosting providers, cloud service providers, internal teams) of the planned security assessment.
  • Comply with all applicable laws and regulations in your jurisdiction related to security testing.
  • Not use our Services or reports for any unlawful purpose, including unauthorized access to third-party systems.
  • Implement reasonable security measures to protect credentials and access provided to ASE during engagements.
  • Not transfer, share, or grant access to your ASE account or platform credentials to any other person or entity. Access to the ASE platform is strictly limited to the contracted client.

5. Intellectual Property

5.1 ASE Intellectual Property

All intellectual property rights in the ASE platform, tools, methodologies, software, AI models, algorithms, website content, trademarks, logos, and documentation are and remain the exclusive property of ASE. Nothing in these Terms grants you any license or right to use, reproduce, distribute, or create derivative works from ASE's intellectual property, except as expressly permitted.

5.2 Reports and Deliverables

Upon full payment of applicable fees, you own the penetration testing reports and deliverables produced for your engagement. You may use, distribute, and deliver these reports without restriction, including to your own clients when acting as a cybersecurity service provider. You may not:

  • Reverse-engineer, decompile, or attempt to extract the underlying methodologies or AI models used by ASE.

5.3 Client Data

You retain all ownership rights to your data, systems, and configurations. ASE does not claim any intellectual property rights over your data. Data collected during engagements is handled in accordance with our Privacy Policy and applicable data processing agreements.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary, sensitive, or non-public information exchanged during the course of the engagement ("Confidential Information"). This includes, but is not limited to:

  • Vulnerability findings and security assessment reports.
  • System architectures, configurations, and credentials shared for testing purposes.
  • Business information, trade secrets, and proprietary methodologies.

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed without reference to the Confidential Information; or (d) is required to be disclosed by law, regulation, or court order, provided that reasonable prior notice is given to the disclosing party.

7. Limitation of Liability

Penetration testing, by its nature, involves actively testing the security of systems and may carry inherent risks. While ASE takes every reasonable precaution to minimize disruption:

  • No warranty: Our Services are provided "as is" and "as available". ASE makes no warranties, express or implied, regarding the completeness, accuracy, or reliability of our findings, nor do we guarantee that all vulnerabilities will be identified.
  • Service disruptions: ASE shall not be liable for any system downtime, data loss, or service interruption that may occur as a direct or indirect result of authorized penetration testing activities.
  • Indirect damages: In no event shall ASE be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, regardless of the cause of action.
  • Maximum liability: ASE's total aggregate liability arising out of or related to these Terms or any engagement shall not exceed the total fees paid by you to ASE for the specific engagement giving rise to the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless ASE, its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your breach of these Terms.
  • Your misrepresentation of authorization to test designated systems.
  • Your use of ASE reports or findings in a manner not authorized by these Terms.
  • Any claim by a third party resulting from testing performed on systems for which you provided authorization.

9. Payment Terms

Fees for Services will be agreed upon in writing before the commencement of any engagement. Unless otherwise specified in a separate agreement:

  • Invoices are due within 30 days of issuance.
  • Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
  • ASE reserves the right to suspend Services for accounts with overdue payments.
  • All fees are exclusive of applicable taxes, which are your responsibility.

Free demo sessions are provided at ASE's discretion and do not create an obligation for continued service.

10. Term and Termination

10.1 Term

These Terms are effective from the date you first access or use our Services and remain in effect until terminated by either party.

10.2 Termination

Either party may terminate these Terms or any active engagement by providing 30 days' written notice to the other party. ASE may terminate immediately if:

  • You breach any material provision of these Terms.
  • You fail to pay fees when due.
  • Continuing the engagement would violate applicable law or pose an unacceptable risk.

10.3 Effects of Termination

Upon termination: (a) all licenses granted under these Terms cease immediately; (b) you must cease using any ASE deliverables for which payment has not been completed; (c) ASE will securely delete your data in accordance with our data retention policy; (d) sections on confidentiality, limitation of liability, indemnification, and governing law survive termination.

11. Acceptable Use

When using our website, you agree not to:

  • Submit false, misleading, or fraudulent information through our forms.
  • Attempt to gain unauthorized access to our systems, networks, or data.
  • Use automated tools (bots, scrapers, crawlers) to access or collect data from our website without prior written permission.
  • Interfere with or disrupt the operation of our website or services.
  • Violate any applicable law, regulation, or third-party rights.

12. Third-Party Services

Our website may contain links to third-party websites or services. ASE does not endorse, control, or assume responsibility for the content, privacy practices, or terms of any third-party services. Your use of third-party services is governed by their respective terms and policies.

13. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to: natural disasters, acts of government, war, terrorism, cyber attacks against the parties themselves, pandemic, power outages, or internet service disruptions.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with applicable international commercial law principles. Any disputes arising out of or in connection with these Terms shall be resolved as follows:

  • Negotiation: The parties shall first attempt to resolve any dispute through good-faith negotiation within 30 days of written notice.
  • Mediation: If negotiation fails, the parties agree to attempt mediation before pursuing arbitration or litigation.
  • Jurisdiction: For clients within the European Union, the courts of the client's country of residence shall have jurisdiction, in accordance with applicable consumer protection laws. For all other clients, disputes shall be submitted to binding arbitration under the rules of a mutually agreed arbitration institution.

Nothing in this section limits your right to bring a claim before the courts or authorities of your country of residence if mandatory consumer protection laws so require.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

16. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any signed engagement agreements, constitute the entire agreement between you and ASE regarding the use of our Services. In the event of a conflict between these Terms and a signed engagement agreement, the engagement agreement shall prevail.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our Services after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
